PrepBoard Terms of Service

Effective Date: September 11, 2026
Last Updated: September 11, 2026

These Terms govern use of PrepBoard for Kitchens, provided by PrepBoard LLC ("PrepBoard," "we," "us") at https://www.prepboard.app and through the PrepBoard mobile app (together, the "Service").

1. Agreement and authority

By creating an account or using the Service, you agree to these Terms. If you do so on behalf of a restaurant or other business (the "Customer"), you represent that you are authorized to bind that business, and "you" means both you and that business.

If you do not agree, do not use the Service.

2. Eligibility and availability

The Service is offered to businesses in the United States. You must be at least 18 years old and able to enter a binding contract. We do not currently offer the Service outside the United States, and we make no representation that it is appropriate or available elsewhere.

3. Accounts and account security

An owner creates an account with an email address and password and becomes responsible for it. You agree to:

  • provide accurate information and keep it current;
  • keep your password confidential and not share it;
  • use reasonable safeguards to protect your account credentials and PINs, and to control who has access to them;
  • notify us at support@prepboard.app promptly if you suspect unauthorized access.

You are responsible for activity carried out under your account or PINs where that activity results from your failure to use reasonable safeguards — for example, sharing or failing to rotate credentials, or leaving them accessible to people who should not have them. This does not apply where unauthorized access resulted from our own breach or failure, including a failure of our security controls.

4. Kitchen access and shared PINs

Kitchen staff do not have individual accounts. The owner generates a read PIN and an edit PIN for the organization, and staff sign in with the organization identifier and one of those PINs.

You should understand and accept the consequences:

  • A PIN is shared. Anyone who has it can use it.
  • Activity performed under a shared PIN is not attributable to a specific individual. Our records show that the shared read or edit identity acted — not which person did. Do not rely on PrepBoard as an audit trail of individual conduct.
  • You are responsible for distributing PINs appropriately and rotating them when staff leave or a PIN may have been exposed. You can rotate a PIN at any time from the account portal; the previous PIN stops working immediately.
  • A PIN is displayed once, when generated or rotated. We store only a hash and cannot show it again.

5. Organizations and locations

An owner creates one organization and one or more locations. The owner is responsible for administering locations, access, and content. Adding and removing locations is self-service; no sales contact is required.

6. Subscription, pricing, and renewal

  • $49 per month for the first active location.
  • $20 per month for each additional active location.

Terms of billing:

  • Payment is due immediately when you subscribe. There is no free trial.
  • The subscription renews automatically each month until cancelled.
  • Fees are in US dollars and exclusive of taxes, which you are responsible for where they apply.
  • Adding a location increases the monthly amount. Reducing locations takes effect at your next renewal — the period you have already paid for continues to bill at the higher amount, and is not prorated or refunded.
  • We may change prices on at least 30 days' notice before the change applies to your renewal. Continuing to use the Service after that is acceptance; if you disagree, cancel before the renewal.

Payments are processed by Stripe. By subscribing you also accept Stripe's terms for that processing. We do not receive or store your full payment card details.

7. Cancellation, deletion, and refunds

Ordinary cancellation. You can cancel from the account portal. Your subscription stops renewing and your access continues through the end of the period you have already paid for. Cancelling does not delete your organization or its content.

Organization deletion. Deleting your organization is a different, stronger action. It cancels the subscription immediately and removes your organization's data and photos from our active systems. It takes effect at once, not at the end of the period, and it is not reversible. See the Privacy Policy for what this removes and what is retained.

Refunds. Fees are non-refundable, and amounts already paid are not prorated on cancellation or deletion, except where the law requires otherwise. If you believe you were billed in error, contact support@prepboard.app and we will review it in good faith.

8. Ownership and licences

You own your content. Recipes, ingredients, instructions, notes, photos, and everything else you put into PrepBoard remain yours. We claim no ownership.

To run the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, sync, reformat, resize, display, and back up your content — solely to provide and support the Service to you. The license lasts only as long as we hold the content and ends when it is deleted, except for copies retained as described in the Privacy Policy.

We will not use your content for advertising, sell it, publish it, or use it to train machine-learning models.

You are responsible for having the rights to everything you upload — including photos and any recipe text copied from another source — and for having permission from anyone identifiable in a photo.

We own the Service. PrepBoard and its licensors own the Service, the software behind it, the PrepBoard name and branding, and all related intellectual property. Nothing in these Terms transfers any of that to you.

Your licence to use it. We grant you a limited, non-exclusive, non-transferable right to access and use the Service for your own business, while your subscription is active and you comply with these Terms. Suspension and termination are governed by Section 13, and what happens to your data when this ends by Section 14. This does not change your ownership of your recipes, photos, and other content, which remains as stated above.

9. Acceptable use

You agree not to:

  • upload content that is unlawful, infringing, or that you lack the rights to use;
  • use the Service to store personal information beyond what it is designed for, or any regulated data such as health records or payment card data;
  • attempt to access another organization's data;
  • probe, scan, or test the security of the Service, or bypass access controls or rate limits;
  • reverse engineer, decompile, scrape, or resell the Service, except where applicable law permits it notwithstanding this restriction;
  • share credentials or PINs outside your own business;
  • interfere with the Service's operation or overload it.

10. Mobile app, permissions, and offline behavior

The mobile app may ask for camera and photo library access to attach reference photos. Both are optional; the rest of the app works without them.

The app keeps a local copy of your organization's data on the device so that cached content stays viewable without a connection. You should understand:

  • Cached content remains viewable while offline.
  • New edits and uploads are blocked while offline.
  • Changes already queued before connectivity was lost resume synchronization when the connection returns.
  • Signing out erases the local copy from that device.
  • Device loss or damage may make the local copy unavailable. Uninstalling the app removes PrepBoard's app-managed local database and photo files. Your data on PrepBoard's servers remains unaffected.

You are responsible for the devices you install the app on and for removing access from devices you no longer control.

11. Third-party services

The Service depends on third parties including Supabase, Stripe, and Vercel. Their availability and behavior are outside our control, and an outage or change at one of them may affect the Service. Your use of Stripe for payment is also subject to Stripe's own terms.

12. Changes, maintenance, and availability

We may modify, add, or remove features. We may perform maintenance, and we will try to do so with as little disruption as reasonable.

We do not offer a service-level agreement or an uptime guarantee. We do not promise the Service will be uninterrupted or error-free.

Where a change to the Service is material and we can practically give notice in advance, we will.

13. Suspension and termination

We may suspend or terminate access if:

  • fees are unpaid after a reasonable grace period;
  • you materially breach these Terms;
  • your use threatens the security, integrity, or availability of the Service or another customer's data; or
  • we are required to by law.

Where practical we will give notice and an opportunity to fix the problem first. You may stop using the Service at any time by cancelling.

14. What happens to your data when this ends

If you cancel, access continues through the paid period. Cancelling does not delete your organization or its content — your data remains, and you may permanently delete it yourself through the account portal at any time. We may remove inactive organizations after giving you reasonable notice.

If you delete your organization, deletion takes effect immediately and is not reversible. See the Privacy Policy for what is removed and what records we retain.

We do not currently offer a self-service data export. If you need a copy of your data, contact support@prepboard.app before the organization is deleted.

15. Feedback

If you send us suggestions or feedback, we may use them without obligation or compensation to you. You are not required to send feedback, and you should not send anything confidential.

16. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that data will never be lost or corrupted.

PrepBoard is a reference tool. It does not provide food-safety, nutritional, allergen, regulatory, or legal advice. You remain solely responsible for food safety, allergen accuracy, labeling, and regulatory compliance in your kitchen. Allergen labels and recipe information in PrepBoard are whatever your own team entered.

17. Limitation of liability

To the fullest extent permitted by law:

  • Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised such damages were possible.
  • Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees you actually paid us in the twelve (12) months immediately before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations. Where that applies, the limitations apply to the fullest extent permitted, and nothing here limits liability that cannot lawfully be limited.

18. Indemnification

You will defend and indemnify PrepBoard LLC against third-party claims, and reasonable costs and attorneys' fees, to the extent they arise from:

  • your content, including a claim that it infringes someone's rights or that you lacked permission to upload it;
  • your use of the Service in violation of these Terms or of law; or
  • your misuse of access credentials or PINs.

This does not apply to claims arising from our own breach, negligence, or willful misconduct. We will notify you of any claim, let you control the defense of claims covered here, and cooperate reasonably at your expense.

19. Governing law and venue

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules.

Any dispute will be brought exclusively in the state or federal courts serving Charleston County, South Carolina, and both parties consent to the personal jurisdiction of those courts.

There is no mandatory arbitration and no class-action waiver in these Terms. You retain the right to bring a claim in court, including in small claims court where it qualifies.

20. Changes to these Terms

We may update these Terms. We will post the new version with an updated date, and for material changes we will give notice through the Service or by email before they take effect. Continuing to use the Service after a change takes effect means you accept it.

21. Electronic communications

You consent to receive notices, agreements, and other communications from us electronically — by email to your account address or by posting in the Service — and agree these satisfy any requirement that a communication be in writing.

22. General

  • Severability. If a provision is unenforceable, the rest stays in effect and the provision is limited to the minimum extent necessary.
  • Waiver. Failing to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent, except to a successor of your business. We may assign them in a merger, acquisition, or sale of assets.
  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between us about the Service and supersede prior understandings.
  • Relationship. Nothing here creates a partnership, joint venture, agency, or employment relationship.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control. This does not excuse any payment obligation already incurred.
